Terms governing the use of WebMoment.

Terms of Service
WebMoment is operated by MobApp Labs LLC. WebMoment offers tools to Capture, preserve, and organize web content. These Terms govern access to the Services, customer responsibilities, and WebMoment's obligations when providing the Services.
If you use WebMoment for a company or organization, you confirm that you are authorized to accept these Terms for that organization.
Definitions
The following capitalized terms have the meanings described below.
"Services" means the WebMoment application, website, APIs, capture infrastructure, storage, collaboration features, notifications, exports, and related services.
"Workspace" means a collaborative space containing resources such as Pages, Moments, Trackings, Collections, comments, API Keys, users, and billing.
"Page" means a website, URL, or other web resource registered by a customer.
"Moment" means an immutable historical record created by a Capture.
"Tracking" means a recurring capture schedule that generates Moments.
"Replay" means an interactive archived version of a captured Page.
"Collection" means an organizational grouping for customer resources.
"Customer Data" means data submitted to, stored in, or generated through the Services for a customer, including screenshots, Replay archives, uploaded assets, comments, metadata, Pages, Moments, Trackings, Collections, and exports.
"Platform Data" means operational data WebMoment generates to run, secure, debug, measure, or improve the Services, such as logs, telemetry, usage metrics, billing records, and security events.
Using WebMoment
Use of WebMoment requires that you can enter into a binding agreement and are not prohibited from using the Services under applicable law.
Account information must be accurate and kept current. You are responsible for maintaining the confidentiality of your credentials and for all activity performed through your account, Workspace, and API Keys.
Verification may be required for security, billing, abuse prevention, or compliance reasons.
Workspaces and Users
A Workspace is the customer-controlled environment for Pages, Moments, Trackings, Collections, users, comments, API Keys, and billing.
Workspace owners and administrators control access. They are responsible for inviting users, assigning roles, removing users, managing API Keys, and reviewing Workspace settings.
If you join a Workspace, the Workspace owner may control your access, view activity associated with the Workspace, and remove you from the Workspace.
The Services
The Services help customers Capture Pages, preserve Moments and Replay versions, use Tracking to extend Timelines, collaborate in Workspaces, organize Pages, use APIs, upload assets, receive notifications, and export Moments.
WebMoment provides software and infrastructure that enable customers to Capture, preserve, organize, and access web content. Customers decide which Pages to submit, which Trackings to create, what content to Capture, and how Moments are used.
The Services do not verify the legality, ownership, permissions, licenses, privacy status, or contractual restrictions of submitted URLs, Pages, or Captured Content.
Plans and Features
Plans may be free, paid, enterprise, or custom.
Plans may differ by:
number of Workspaces, Pages, Moments, Trackings, or users;
API access and request volume;
storage, retention, and export limits;
capture quality and screenshot settings;
custom domains;
collaboration features;
support level;
beta or advanced features.
Plan details shown in the product, pricing page, invoice, order form, or written agreement apply to your subscription.
Billing, Taxes, and Renewals
Paid plans require a valid payment method unless a separate written agreement states otherwise.
By subscribing to a paid plan, you authorize WebMoment and its payment processors to charge subscription fees, usage charges, renewals, taxes, and other amounts due under your plan.
Subscriptions renew automatically unless cancelled before the renewal date. Usage-based charges may be billed in arrears.
Fees are non-refundable unless required by law or expressly stated in a written agreement.
Applicable taxes are your responsibility, except taxes based on WebMoment's income.
Billing terms in an order form or written agreement override the general billing terms in this section for the applicable subscription.
Prices may be updated with reasonable notice where required by law or agreement.
Failed Payments
If payment fails or your account becomes overdue, WebMoment may limit, suspend, or terminate access to paid features until overdue amounts are paid.
The payment method on file may continue to be charged until amounts are paid or the subscription is cancelled.
Upgrades and Downgrades
Where supported by the product, you may upgrade or downgrade plans.
Upgrades may take effect immediately and may create prorated charges. Downgrades may take effect at the end of the current billing period or as shown in the product.
Downgrading may reduce limits or remove access to features. You are responsible for exporting Customer Data before a downgrade affects access or retention.
Usage Limits
Limits may be enforced to protect reliability, control costs, and prevent abuse.
Limits may apply to capture jobs, Trackings, API requests, storage, Replay archive size, uploaded assets, exports, custom domains, users, and retention.
Limits may change over time to improve reliability, security, product performance, or cost control.
If usage exceeds limits, affected requests may be throttled, queued, rejected, delayed, cancelled, or disabled.
API Keys are secrets. You must store them securely, avoid exposing them in client-side code, rotate them when needed, and revoke unused or compromised keys.
API compatibility is not guaranteed across all versions. Deprecated endpoints may be removed after reasonable notice where practical.
API abuse may result in throttling, key revocation, or suspension. Access may also be rate limited, rotated, or disabled to protect customers, third parties, or the Services.
Customer Data and Platform Data
Customer Data belongs to the customer.
Except as expressly provided in these Terms, WebMoment acquires no ownership rights in Customer Data.
You grant WebMoment only the rights needed to provide and operate the Services, including rights to store, process, transmit, display, copy, cache, index, replicate, backup, transform, render, generate captures, create Replay archives, provide exports, create thumbnails and previews, generate metadata, create derivative technical outputs needed for product functionality, secure the platform, troubleshoot issues, and comply with law.
Platform Data belongs to WebMoment. It does not include Customer Data except where technically necessary to operate, secure, analyze, or improve the Services, and WebMoment may not use Customer Data in a way that violates these Terms or applicable law.
Captured Content may include screenshots, Replay archives, page metadata, URLs, titles, favicons, Open Graph images, uploaded assets, comments, exports, and other information generated through the Services.
Customers are solely responsible for:
submitted URLs;
permissions to capture and archive Pages;
legality of Captured Content;
copyright and license compliance;
third-party rights;
confidentiality obligations;
privacy notices and consent where required;
personal data contained in captures;
exported captures;
Replay archives and shared links;
use of Trackings.
Captured Content is not reviewed for legality, ownership, permissions, privacy compliance, intellectual property rights, or third-party terms.
Captured Content is not monitored, moderated, or validated except where required by law or necessary to protect the Services, customers, or third parties.
Ownership
The Services are owned by WebMoment, including software, interfaces, design, infrastructure, documentation, trademarks, and platform technology.
Customer Data remains owned by customers.
Nothing in these Terms transfers ownership of the Services to you.
No rights are transferred except those expressly described in these Terms.
Except as expressly stated, no license is granted by implication.
Feedback
If you provide feedback, suggestions, or ideas about WebMoment, you allow WebMoment to use them without restriction, attribution, or compensation.
Feedback does not include Customer Data.
Beta Features
Certain features may be offered as beta, preview, experimental, or early access features.
Beta Features may be incomplete, unsupported, change without notice, contain errors, become unavailable at any time, or be discontinued. They may never become generally available.
Use of Beta Features is optional.
AI Features
AI-assisted features may be added in the future.
Customer Data will not be used to train AI models unless you have explicitly opted in.
If AI Features are introduced, WebMoment may provide additional terms, settings, or disclosures describing how those features process data.
Third-party Services
The Services may integrate with or depend on third-party services for hosting, storage, authentication, billing, notifications, email, support, and infrastructure.
Third-party services are governed by their own terms and policies. WebMoment is not responsible for third-party services outside its control.
Availability of the Services may depend on third-party providers, and those providers may change over time.
You may not use WebMoment for phishing, malware, spam, credential theft, unlawful monitoring, abusive automation, denial of service, unauthorized scraping, copyright violations, or activity that harms WebMoment, customers, or third parties.
Security
Technical and organizational measures are maintained to protect the Services and Customer Data.
The Services are designed to be reliable, but uninterrupted availability is not promised unless a separate written agreement says so.
The Services may be unavailable due to maintenance, upgrades, incidents, third-party outages, network issues, abuse prevention, or events outside WebMoment's control. Maintenance may occur without prior notice when reasonably necessary.
Support availability depends on your plan or written agreement.
Suspension
Access to all or part of the Services may be suspended if:
you violate these Terms or referenced policies;
payment is overdue;
use creates legal, security, or operational risk;
API activity is abusive;
required verification is incomplete;
suspension is required by law.
Where reasonable, WebMoment will provide notice and an opportunity to resolve the issue. Immediate suspension may occur without prior notice when necessary to protect the Services, customers, or third parties.
Termination
You may stop using WebMoment at any time. You may cancel paid plans through the product or as described in your order terms.
Access may be terminated if you materially breach these Terms, fail to pay amounts due, create unacceptable risk, or use the Services unlawfully.
Termination does not relieve you of payment obligations that accrued before termination.
Exporting Customer Data
Export tools may be available for Customer Data. Export functionality may vary by plan, product area, file type, and technical limits, and export formats and capabilities may evolve over time.
Export Customer Data before closing a Workspace, cancelling a plan, downgrading, or reaching a retention limit.
WebMoment is not responsible for Customer Data deleted under your settings, plan limits, retention periods, or account closure, and deleted Customer Data may not be recoverable.
Retention and Deletion
Customer Data may be retained according to plan limits, Workspace settings, product functionality, system maintenance, backup and disaster recovery requirements, legal compliance, abuse prevention, and security investigations.
After termination, cancellation, deletion, or retention expiry, WebMoment may delete or restrict access to Customer Data.
Copies may remain in backups for a limited period until overwritten or deleted through normal backup rotation.
Warranty Disclaimer
The Services are provided "as is" and "as available."
To the maximum extent permitted by law, WebMoment disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Captures, screenshots, Replay archives, Trackings, exports, and API responses may be incomplete, interrupted, contain errors, or be legally insufficient, and may not be accepted by any third party.
Screenshots and Replays may differ from the live website because websites, browsers, scripts, resources, authentication, and network conditions can change.
Captured websites may not remain accessible, render identically over time, or be accepted as evidence by courts, regulators, or other third parties.
Limitation of Liability
To the maximum extent permitted by law, WebMoment will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or reputational harm, whether arising in contract, tort, strict liability, or otherwise.
Except for amounts that cannot be limited by law, WebMoment's total liability for all claims relating to the Services will not exceed the amounts paid by you to WebMoment for the Services during the twelve months before the event giving rise to the claim.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
Indemnification
You will defend, indemnify, and hold harmless WebMoment from claims, damages, liabilities, costs, reasonable attorneys' fees, and legal expenses arising from:
Customer Data;
submitted URLs;
Captured Content;
exports or shared Replay archives;
your use of the Services;
violation of these Terms;
violation of law;
infringement or misuse of third-party rights.
Force Majeure
Delays or failures caused by events outside WebMoment's reasonable control are not WebMoment's responsibility. These events may include natural disasters, pandemics, labor disputes, infrastructure failures, cloud provider outages, internet disruptions, government actions, war, terrorism, civil unrest, or widespread security incidents.
Assignment
You may not assign these Terms without WebMoment's prior written consent, except as part of a merger, acquisition, corporate reorganization, or sale of substantially all assets.
These Terms may be assigned by WebMoment as part of a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
Governing Law
These Terms are governed by the laws of GOVERNING_LAW, without regard to conflict of law rules.
Severability
If any part of these Terms is unenforceable, the remaining parts remain in effect.
No Waiver
If WebMoment does not enforce a provision, that does not waive its right to do so later.
Entire Agreement
These Terms, together with referenced policies and any applicable order form or written agreement, are the entire agreement between you and WebMoment for the Services.
Survival
Sections that by their nature should survive termination will survive, including payment obligations, Customer Data permissions needed for wind-down, ownership, disclaimers, limitations of liability, indemnification, and dispute terms.
Electronic Communications
Communications may be sent electronically, including by email, in-product notices, dashboard messages, or updates posted to the website.
Electronic communications satisfy legal requirements that communications be in writing where permitted by law.
Changes
These Terms may be updated from time to time.
The updated version will be posted with a new lastUpdated date. If changes materially affect your rights or obligations, WebMoment will provide reasonable notice where required.
Continued use of the Services after changes become effective means you accept the updated Terms.
